FRANCHISE CAPITAL CORPORATION, dba FranCap, is a long-standing franchise development company that provides franchisors with the knowledge, skills, systems and capital sources to enable them to become large national brands. FranCap’s roots date back to the early 1960's, when FranCap’s founders worked within the securities, real estate, insurance, marketing, and venture capital industries.

In 1975, FranCap's founders formed Nationwide Marketing Corporation ("Nationwide"), one of the nation's first franchise consultancy firms, to administer to the needs of small businesses seeking to expand their base of operations through franchising. In 1985, the founders reincorporated under the name National Fran-Mark Corporation ("FranMark") due to a corporate name conflict with another third party corporation involved in an unrelated business.

Both Nationwide and FranMark’s chief legal counsel was Harold Brown of Boston, Massachusetts. In 1971, Mr. Brown was instrumental in the development, introduction and establishment of the first franchise laws in the U.S. (and in California). Also, in 1979, he played a key role in drafting the Federal Trade Commission's ("FTC") Uniform Franchise Offering Circular ("UFOC"), now referred to as the Franchise Disclosure Document ("FDD"). Mr. Brown was also the co-founder of the American Bar Association's ("ABA") committee on franchising and he served on its governing council for 6 years.

In 1998, FranCap's founders established a new entity called Francap Corporation ("Francap Corporation") to pursue a unique business franchising model that involved partnering with prospective franchisors to enable them to grow businesses more quickly. Subsequent to that, FranCap's founders formed two venture capital funds: Cartel Funding, LLC (established in 2003), and the Cartel Equity Fund, LLC (established in 2012), to address the funding, management and marketing needs of private companies, and to move them along a critical path to their next level, such as a mini IPO, IPO, merger, or acquisition exit strategy.

In 2015, in a tax-free transfer of its assets, Franchise Capital Corporation, dba FranCap was formed as a successor company to FranCap Corporation to focus on its no upfront fee franchise development business model. FranCap believes that it is currently one of the only franchise development firms in the industry that has such a unique business model.

Management and Staff

Business Development and Management Corp. ("BD&M") Our Manager, BD&M Management Corp. was organized in January 2003 as a Delaware corporation to manage all aspects of our business, Cartel Equity Fund, LLC. The directors of the Manager are elected annually to serve for one year with the guidance of Counsel of Record, Accounting, and BD&M’s Advisory Board and will continue to serve until their respective successors are elected and qualified. Executive officers are elected annually by, and serve at the pleasure of, the Board of Directors. The current director(s) is/are expected to hold office until the next annual meeting of the shareholders, which the Manager expects to be held in December, the last month of each calendar year.

Biographies of the Directors and Executive Officers of our Manager

Don Wilson, C.O.B. of BD&M Corp, is also the founder of FranCap, a venture capital marketing entity established in the early 1960's that addresses the investment needs of businesses working within the franchise method of marketing.

Mr. Wilson has contributed to the formation of more than 200 national and international franchises, including companies such as Century 21 Real Estate, Dunkin' Donuts, Baja Fresh Mexican Grill, and the National Yellow Pages Services Association (NYPSA). As a pioneer in franchise development, he assisted in the submission of documents that led to the creation of the first franchise laws in the United States, which were passed in the State of California in 1971. Mr. Wilson is also the founder of Cartel Funding, LLC and Cartel Equity Fund, LLC, both equity and acquisition venture capital funds; and Netword, Inc., an Internet search technology company created to optimize local and national search results in all major search engines.

As the inventor of the Netword Business Model, Mr. Wilson holds the Patent to the technologies developed and implemented to place Netword as a unique supplier of Internet search advertising with the added distinction of having guided the legal team through the myriad new technology patent applications intended to benefit local and national businesses.

To further benefit the potential of Netword's success, Mr. Wilson created Rabbit Marketing Services, LLC, with the exclusive goal of selling local, national and international advertising for Netword through both pilot operations and joint venture partnerships. The success of FranCap and Mr. Wilson's other enterprises have piqued the curiosity of others in the business world leading to his having discussed the principles upon which he built these companies in national publications such as Newsweek, Forbes, and Nation's Business.

Advisors to the Manager

Leslie H. Lewark, serves as President of Netword, Inc. Aside from periodic real estate and portfolio investment management, Mr. Lewark has spent much of the past quarter century in private practice in the field of education, having served as an Adjunct Instructor at Morgan College Colorado. He received his MA in Psychology from the University of Northern Colorado and his BA-Psychology/Sociology from Metropolitan State College.

Kenneth C. Free, former President and Chief Executive Officer of Netword, Inc., remains an Advisor to the Manager. Mr. Free holds an MBA in Finance from the University of Missouri in Kansas City and a BS degree in Hotel Administration from the University of Nevada, Las Vegas. He carries advanced professional designations from the American Hotel and Lodging Association and the American Resort Development Association, as well as being licensed as a Broker by the California Department of Real Estate. He has taught graduate university courses in Strategic Planning and Finance as an Adjunct Professor for the University of Phoenix and has published articles relating to land development. Mr. Free is active in the Urban Land Institute and the American Resort Development Association.


Jared Bernacchi, a "Local Boy" UCLA grad and Netword’s Lead Programmer who brings to the table extensive technical skills in all vital aspects of Computer, Website, SEO Analysis, Coding, Programming and Network security.

George Lopez, an accomplished Web Designer (over the years a Netword "outside consultant") was recently employed in Netword's Graphic Design and Brand Merchandising Fulfillment division on a full-time basis.
